Terms of Service
Effective date: October 18, 2026
These Terms of Service (“Terms”) govern access to and use of the InnHearth website at innhearth.com and the InnHearth software and services (together, the “Service”). InnHearth is operated by Zoe Ophelia Holdings LLC, a Washington limited liability company (“InnHearth,” “we,” “us,” or “our”). By using the Service, or by signing up for it on behalf of a lodging business, you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it, and “you” refers to that business.
1. The Service
InnHearth is business-to-business software for hotels, inns, motels, and other lodging properties (“Properties”). It includes a direct booking engine that a Property can place on its own website and a property management system (back office) for room types, rates, availability, reservations, guest profiles, property policies, and payments. InnHearth is not a hotel, travel agency, or booking marketplace and does not provide lodging to guests.
2. Accounts
You must provide accurate business and contact information and keep it current. You are responsible for your users, for keeping login credentials secure, and for all activity under your account. Tell us promptly at hello@innhearth.com if you suspect unauthorized access.
3. Payments and Stripe
Card payments through the Service are processed by Stripe, Inc. and its affiliates (“Stripe”). To accept payments, each Property must create a Stripe connected account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Terms”). By agreeing to these Terms or continuing to operate as a Property on InnHearth, you agree to be bound by the Stripe Terms, as Stripe may modify them from time to time. As a condition of InnHearth enabling payment processing through Stripe, you agree to provide InnHearth accurate and complete information about you and your business, and you authorize InnHearth to share it and transaction information related to your use of the payment processing services provided by Stripe.
For bookings made by guests, the Property is the merchant of record. The Property sets its own rates, taxes, deposits, payment timing, cancellation rules, and refund policies, and is responsible for honoring them, for guest disputes and chargebacks, and for complying with laws that apply to its lodging business. InnHearth provides the software that applies the Property’s settings and does not decide whether a guest is entitled to a refund.
InnHearth may charge platform or payment processing fees on transactions as set out in your order form or other written agreement with us. Fees are disclosed to you before they apply.
4. Subscription, billing, and cancellation
Subscriptions are month-to-month. Fees and the billing method are stated in your order form or plan, and no prices are listed in these Terms. You may cancel at any time with 30 days’ written notice to hello@innhearth.com; the Service and billing continue through the end of the notice period. Except as required by law or stated in our Refund & Cancellation Policy, subscription fees already paid are non-refundable. We may change fees with at least 30 days’ notice.
5. Your data
You own the data you and your guests put into the Service, including guest profiles and reservations (“Customer Data”). You grant InnHearth a limited right to host, process, and transmit Customer Data only to provide, secure, support, and improve the Service, and as described in our Privacy Policy. You are responsible for having a lawful basis and any required notices or consents to collect guest data and share it with us. When you migrate from another system, you confirm you have the right to provide that data. On cancellation, you may request an export of your Customer Data within 30 days, after which we may delete it as described in our Privacy Policy.
6. Acceptable use
You will not misuse the Service, including by breaking the law, infringing others’ rights, sending spam, uploading malware, probing or bypassing security, overloading the Service, reverse engineering it except where the law allows, or using it to process transactions that are prohibited by Stripe or card network rules. We may suspend access that threatens the Service, other customers, or guests.
7. Availability and support
We work to keep the Service available and secure and provide support by email and phone during business hours. Scheduled maintenance and events beyond our reasonable control may cause interruptions. Features described as “coming soon” are not yet available and may change.
8. Intellectual property
InnHearth and its licensors own the Service, the InnHearth name and logo, and all related software and content. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation.
9. Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available,” and InnHearth disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.
10. Limitation of liability
To the fullest extent the law allows, InnHearth will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, and InnHearth’s total liability arising out of these Terms or the Service will not exceed the fees you paid to InnHearth in the 12 months before the event giving rise to the claim.
11. Indemnity
You will defend and indemnify InnHearth against third-party claims arising from your lodging business, your guest policies and transactions, your Customer Data, or your breach of these Terms or the Stripe Terms.
12. Termination
Either party may end the subscription as described in Section 4. We may suspend or terminate the Service for material breach that is not cured within 10 days of notice, or immediately where required by law, by Stripe, or to prevent fraud or harm. Sections that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The state and federal courts located in Washington State have exclusive jurisdiction, and each party consents to venue there, except that either party may seek injunctive relief in any competent court.
14. Changes
We may update these Terms. If a change is material, we will notify account holders by email or in the Service at least 30 days before it takes effect. The effective date above shows the latest version.
